*Required field License Agreement Print License Agreement SPECIFICATIONS LICENSE AGREEMENT<br>FASTREZ<br><br>This Specifications license agreement (“Agreement”) is a legally binding agreement between you, as an individual, or if you are employed by or otherwise acting on behalf of an entity, between that entity (in either case, “Licensee”) and OpenTravel Alliance (“Licensor”). Licensor is willing to grant Licensee a license to the FastRez Specifications described below only if Licensee accepts all terms and conditions of this Agreement, INCLUDING THE IMPORTANT PROVISIONS IT CONTAINS CONCERNING DISCLAIMED WARRANTIES AND LIMITATIONS OF LIABILITY.<br><br>By clicking “Accept” or installing the FastRez Specifications, Licensee indicates that it has accepted this Agreement after reading and understanding it entirely. If you are employed by an entity or otherwise acting on behalf of an entity with respect to the Specifications or this Agreement, you are accepting this Agreement on that entity’s behalf (and all applicable references to “you” or Licensee in this Agreement refer to that entity). IF YOU DO NOT ACCEPT THIS AGREEMENT, YOU MAY NOT DOWNLOAD, INSTALL, OR USE THE SPECIFICATIONS, AND YOU SHOULD NOT CLICK “ACCEPT.”<br><br>1. Background. Licensor has developed proprietary XML Specifications called FastRez (the “Specifications”) that will enable Licensee to automate the exchange of inventory availability, reservations, cancellations and Licensee information between Licensee and its trading partners using applications such as property management systems, central reservation systems and distribution software.<br><br>2. License.<br><br>(A) License Grant. Licensor hereby grants Licensee a perpetual, non-exclusive, limited, non-transferable license to use the Specifications under the terms of this Agreement. Under this Agreement, the Specifications may be installed on servers or computers used by officers and employees of Licensee engaged in work of behalf of Licensee, whether on or off Licensee’s premises. Licensor hereby reserves all rights not expressly granted under this Agreement.<br><br>(B) License Conditions. As conditions of the license above, Licensee may not:<br><br>(i) distribute, transfer, copy (except as necessary to install and use the Specifications in accordance with this Agreement), reproduce, display publicly, sell, rent, lease, sublicense, or time-share the Specifications or any portion thereof; <br><br>(ii) reverse engineer, de-compile, or create any derivative work based on the Specifications in any way other than that which allows licensee and its partners to use the specifications as contemplated by this agreement;<br><br>(iii) transfer the license or provide access to the Specifications to any third party (except for partners who are required to access the Specifications for the limited purpose set forth herein, in furtherance of Licensee’s business and in accordance with this Agreement, and further provided that Licensee will notify such partners that they are not permitted to use or access the Specifications for any other purpose). In addition, Licensee shall maintain a confidential list of the names of such partners, which list Licensor may view from time to time. <br><br>(iv) remove or modify any proprietary marking or restrictive legends placed on the Specifications; or<br><br>(v) use the Specifications in violation of any applicable local, state, national or international law or regulation.<br><br>(C) Ownership. Licensor retains all right, title, and interest (including all copyright, patent, trade-secret, trademark, and other intellectual property and proprietary rights) in the Specifications. Under no circumstances may Licensee claim any proprietary rights in or to the Specifications.<br><br>(D) Fee. In consideration of the grant of the license and the use of the Specifications, Licensee agrees to pay Licensor a one-time license fee of US$2,995 for OpenTravel member companies or US$3,495 for non-member companies (the “License Fee”). Upon receipt of the License Fee and your acceptance of and agreement to this Agreement, Licensor will send Licensee a link pursuant to which it may download the Specifications. <br><br>3. Trademarks. The trade names, trademarks, service marks, trade dress, logos, product and service names, and other indicia of source found on or within the Specifications (collectively, "Marks") are proprietary to Licensor and are protected by trademark or other applicable law. The Marks may be registered or unregistered trademarks of Licensor. Licensee may not use any Mark without the express written permission of Licensor and nothing contained in the Specifications should be construed as granting any license or right to use any Mark.<br><br>4. INDEMNIFICATION FOR INFRINGEMENT. Licensor will defend, indemnify, and hold harmless Licensee against any claim that the Specifications infringe any patent or any copyright or other intellectual property or proprietary right, provided that Licensee gives Licensor prompt written notice thereof, grants Licensor sole control of the defense and any related settlement negotiations, cooperates with Licensor in the defense of such claim and does not agree to settle any such claim without Licensor’s written consent. In the event of such a claim of infringement, Licensor may, at its option and at its expense, either (i) procure the right for continued use of the Specifications, (ii) replace or modify the Specifications so that they become non-infringing, provided that the performance of the Specifications will not thereby be materially adversely affected or (iii) terminate Licensee’s license to the Specifications and refund the License Fee to Licensee.<br><br>5. DISCLAIMER OF WARRANTIES. LICENSOR HEREBY DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES WITH RESPECT TO THE SPECIFICATIONS, INCLUDING ALL WARRANTIES OF MERCHANTABILITY, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE (EVEN IF THAT PURPOSE HAS BEEN DISCLOSED), NON-INFRINGEMENT OR ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE. <br><br>6. LIMITATIONS OF LIABILITY. UNDER NO CIRCUMSTANCES WILL LICENSOR BE LIABLE FOR ANY DAMAGES (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, LOST REVENUES, LOST PROFITS, LOSS OF USE, LOSS OF BUSINESS, LOSS OF INFORMATION, COSTS OF RECOVERING INFORMATION, COSTS OF SUBSTITUTE EQUIPMENT OR SPECIFICATIONS, OR CLAIMS BY ANY THIRD PARTY) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SPECIFICATIONS, REGARDLESS OF THE THEORY OF LIABILITY, WHETHER TORT (INCLUDING NEGLIGENCE OF ANY KIND), CONTRACT OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF THE DAMAGES OR IF THE DAMAGES COULD HAVE BEEN FORESEEN. SOME STATES DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN KINDS OF DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO LICENSEE. IF ANY COMPETENT AUTHORITY HOLDS ANY LIMITATION OF LICENSOR’S LIABILITY TO BE UNENFORCEABLE, THEN THAT LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY THE APPLICABLE LAW.<br><br>7. Remedies. Licensee acknowledges that its attempted use of the Specifications in violation of this Agreement or in any way that infringes Licensor’s rights in it would cause Licensor irreparable injury for which there is no adequate remedy at law and therefore that Licensor would be entitled to injunctive relief and other appropriate equitable relief in addition to any other available remedy.<br><br>8. Term and Termination.<br><br>(A) Term. This Agreement is effective as of the date Licensee accepts it and remains in effect until terminated in accordance with its provisions.<br><br>(B) Termination. Without prejudice to any other rights, Licensor may terminate this Agreement in the event that Licensee breaches any provision of this Agreement. <br><br>(C) Effects of Termination. Upon any termination of this Agreement, (i) all rights and licenses granted under this Agreement will be automatically terminated and revoked; (ii) the rights will automatically revert to Licensor, and (iii) Licensee will immediately discontinue all use of the Specifications and destroy (or return to Licensor, at Licensor’s option) all copies of the Specifications.<br><br>(D) Survival. Any provision that by its terms contemplates survival will survive the termination or expiration of this Agreement, including 2(C), 3, 4, 5, 6, 7, 8(C) and (D), and 9.<br><br>9. General Provisions.<br><br>(A) No Agency. Nothing in this Agreement may be used to construe Licensee and Licensor as joint venturers, co-employers, partners, or agents of each other, and neither Licensee nor Licensor has the power to obligate or bind the other in any way whatsoever.<br><br>(B) Entire Agreement; Amendments; Enforceability. This Agreement is the complete agreement between Licensee and Licensor and supersedes all other agreements, representations, or understandings (whether written or oral) between the parties concerning its subject matter. No amendment of this Agreement is valid unless (i) accepted by you electronically in a same or similar form as you accepted this Agreement or (ii) in a writing signed by you and Licensor. Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective only to the minimum extent necessary without invalidating the remaining provisions of this Agreement or affecting the validity or enforceability of such provisions in any other jurisdiction.<br><br>(C) Assignment. This Agreement will bind upon and inure to the benefit of the parties and their successors, heirs, and permitted assigns. Licensee may not assign this Agreement or any rights or obligations under it without Licensor’s prior written consent, except in connection with a sale of substantially all of Licensee’s assets. Any attempted assignment in violation of this provision is null and void. <br><br>(D) Waiver. No waiver of any right under this Agreement is effective unless in writing signed by a duly authorized representative of the waiving party. A party’s failure to enforce all provisions of this Agreement in every instance in which they might apply is not a waiver of any of the party’s rights.<br><br>(E) Governing Law; Forum. This Agreement is governed by the laws of the United States of America and the Commonwealth of Massachusetts applicable to agreements made and wholly performed there. For any claim, dispute, action, or proceeding related to this Agreement, the parties hereby consent (and waive all objections, including any based on inconvenience) to the exclusive jurisdiction of the applicable state and federal courts in the Commonwealth of Massachusetts.<br><br>(F) Severability. If any provision in this Agreement is invalid or unenforceable, that provision will be construed, limited, modified or, if necessary, severed, to the extent necessary, to eliminate its invalidity or unenforceability, and the other provisions of this Agreement will remain in full force and effect.<br><br>(G) Captions. Headings and captions throughout this Agreement are for convenience only and should not be considered to construe meaning or intent. <br><br>AS STATED ABOVE, CLICKING “ACCEPT” OR INSTALLING THE SPECIFICATIONS INDICATES YOUR ACCEPTANCE OF THIS AGREEMENT.
